1. Agreement to These Terms
These Terms of Service ("Terms") govern your use of Emeraldline’s website, Free Sample Alert, paid subscription service, opportunity alerts, Status Summaries, and related services (collectively, the "Service"). The Service is provided by Emeraldline LLC, a Florida limited liability company ("Emeraldline," "we," "us," or "our").
If you purchase a subscription, you affirmatively agree to these Terms during Stripe Checkout before payment. By requesting or using a Free Sample Alert or otherwise using the Service, you also agree that these Terms govern that use. If you are using the Service for a business or other organization, you represent that you are authorized to act for that business or organization.
If you do not agree to these Terms, do not use the Service.
2. Business Use and Eligibility
Emeraldline is a business-to-business service. You must be at least 18 years old and legally able to enter into a contract. You may use the Service only for legitimate business purposes and in compliance with applicable law.
A business does not have to be located within Emeraldline’s monitored geography to subscribe. A niche or uncommon trade does not, by itself, make a business ineligible to subscribe.
3. What Emeraldline Provides
Emeraldline monitors defined government contracting sources, matches opportunities against a subscriber’s business profile, and sends opportunities that appear worth the subscriber’s attention.
Emeraldline is an information and opportunity-intelligence service. We are not a government agency, are not affiliated with any government entity merely because we monitor or link to public sources, and are not the official publisher of procurement documents.
4. Monitored Geography and Coverage
Emeraldline’s founding monitored geography covers defined government opportunity sources serving Escambia County, Santa Rosa County, Okaloosa County, Walton County, and Bay County, Florida.
Coverage is organized around defined public owners, publishers, portals, and other validated sources. Emeraldline does not promise that it monitors every government source or every opportunity, and does not guarantee complete coverage or zero misses. Sources can be delayed, incomplete, inaccessible, changed, moved, or unavailable without notice.
5. Business Profile, Matching, and Enrichment
The Service uses information about your business and the work you want to pursue. A profile may include business and contact information, desired work or services, service geography, exclusions, niche-work descriptions, optional project preferences, project-size preferences, prime/subcontractor preferences, notes, and other information you provide.
Explicit required criteria in your profile are treated as hard matching rules. Optional preferences and feedback may refine fit, ranking, and presentation, but do not by themselves exclude an otherwise valid match that satisfies required criteria.
Emeraldline may supplement information you provide with publicly available business research and enrichment. You are responsible for keeping your profile information reasonably accurate and current.
6. Opportunity Alerts, Status Summaries, and Material Updates
Paid subscribers may receive immediate alerts for strong live matches. Emeraldline may also send material amendments, deadline changes, cancellations, or other time-sensitive changes to previously alerted opportunities when those changes become known to us.
Subscribers may choose a Status Summary cadence of Weekly, Monthly, or Off. Weekly is the default. Status Summaries may include new matches, previously alerted opportunities that remain active, known status changes, and a no-new-matches update when appropriate.
Alert volume will vary. Emeraldline does not guarantee any minimum number of opportunities, alerts, or matches during any billing period, and does not send marginal items merely to create volume.
7. Official Sources and Your Verification Responsibility
Government procurement information can change quickly. Dates, requirements, eligibility rules, amendments, submission instructions, and other official facts may be updated after Emeraldline retrieves or analyzes them.
Emeraldline aims to preserve an official source path and to distinguish official source facts from Emeraldline analysis. If there is any inconsistency between an Emeraldline communication and the official procurement source, the official source controls.
Before acting on any opportunity, you are responsible for independently reviewing the official procurement documents and verifying current requirements, deadlines, eligibility, instructions, amendments, addenda, submission methods, and other material information.
8. No Legal, Procurement, Eligibility, or Bid-Submission Advice
Emeraldline does not provide legal advice, procurement representation, bid preparation, bid submission, definitive eligibility determinations, or a guarantee that your business is qualified to pursue or win an opportunity.
Emeraldline analysis, match explanations, recommended next actions, and other interpretation are informational only. You remain responsible for your business decisions, compliance, submissions, and procurement strategy.
9. Subscription Price and Monthly Automatic Renewal
The founding subscription price is $29.00 per month for one business profile and up to two named recipients. Billing is monthly only and month-to-month.
Your subscription begins immediately after successful payment and automatically renews each month until canceled. By subscribing, you authorize Stripe, as Emeraldline’s payment processor, to charge the payment method associated with your account $29.00 each month, plus any taxes that Emeraldline is legally required to collect, until the subscription is canceled or otherwise ends.
The subscription fee pays for ongoing monitoring, matching, interpretation, alert delivery, and related service functions. It is not a fee per opportunity and does not guarantee a particular quantity or outcome.
10. Founding Subscriber Rate
A business that begins paid service on or before December 31, 2026 is eligible for the Founding Subscriber rate. A Founding Subscriber keeps the $29.00 monthly rate while the paid subscription remains continuous.
Canceling at the end of the current billing period does not end the Founding rate until the already-paid period actually expires. If the cancellation is reversed before that expiration, continuous service and the Founding rate remain. Once paid service actually expires or the subscription otherwise ends, the Founding rate is lost.
Beginning January 1, 2027, new subscribers are not promised a permanent price guarantee. Emeraldline is not required to raise the normal public price on that date.
11. Payment Processing
Stripe is Emeraldline’s founding payment processor. Stripe collects and processes payment-card credentials. Emeraldline does not store your full card number, card security code, or other payment-card credentials.
Emeraldline may retain provider identifiers and account information needed to administer billing, such as Stripe customer, subscription, invoice, payment, status, and reconciliation identifiers. Stripe’s own terms and privacy practices also apply to information Stripe processes.
12. Failed Payments, Recovery, Suspension, and Reactivation
If a recurring payment fails, Emeraldline may use Stripe’s automated retry and recovery process. Emeraldline’s founding policy uses an approximately seven-day configurable recovery period, although the exact timing may vary based on payment-provider settings and circumstances.
Paid service may remain active during the recovery period. If payment remains unresolved, Emeraldline may suspend paid alerts and Status Summaries. If payment is later successfully recovered while the subscription remains capable of reactivation, service may automatically reactivate.
Emeraldline does not retroactively deliver opportunities that would have matched during a period when paid service was suspended.
13. Cancellation and Refunds
You may cancel future renewal through the self-service billing method Emeraldline makes available. Cancellation stops the next renewal but does not normally terminate the current paid period early. Service continues through the end of the already-paid billing period unless otherwise required by law or agreed by Emeraldline.
Emeraldline does not routinely provide prorated refunds for unused time in a billing period. Emeraldline may make reasonable exceptions for a billing error, a legal requirement, or a customer-service correction.
Emeraldline does not offer a subscription pause feature during the founding phase.
14. Free Sample Alert
A prospective business may request one complimentary Free Sample Alert without providing a payment method. Emeraldline uses the prospect’s Short Smart Profile and public-business enrichment to select the strongest available example from a curated library of real, source-traceable opportunities.
Active or current examples are preferred when otherwise similar, but a historical opportunity may be used when it is the strongest available example. Historical examples will be identified as historical. Emeraldline will not fabricate or exaggerate fit.
The Sample Alert is a full-value product example and does not require a later subscription. A Sample request initiates the requested Sample Alert plus the related Day 2/3 check-in and Day 7 final follow-up. After that sequence, Emeraldline stops active Sample follow-up unless the business separately engages with us or otherwise requests communication. A Sample request does not enroll the business in unrelated or indefinite marketing. Marketing opt-outs are honored.
One complimentary completed Free Sample Alert is available per business, not per email address. A completed Representative Sample counts as that business’s complimentary Free Sample Alert. Once the complimentary Sample has been completed, later requests, profile changes, alternate email addresses, amendments, or later-discovered opportunities do not create another complimentary Sample entitlement. Repeat requests may be routed to a profile update or subscription. Emeraldline may use reasonable business-identity and duplicate controls to determine whether a business has already received its complimentary Sample.
15. One Business Profile, Recipients, and Permitted Sharing
One subscription covers one business profile and up to two named recipients for that business. The business profile may include any legitimate number of trades, services, work interests, and preferences for that same business.
Normal internal sharing within the subscribed business is permitted. Legitimate project collaboration with advisers, teaming partners, subcontractors, or other project participants is also permitted when the sharing supports the subscribed business’s own evaluation or pursuit of an opportunity.
Systematic redistribution, resale, republishing, forwarding, or other distribution of Emeraldline alerts or service output to unrelated businesses as a substitute for those businesses maintaining their own subscriptions is prohibited.
16. Referrals
An active subscriber may qualify for one $29.00 subscription credit for a referral when a distinct referred business becomes and remains paid through Emeraldline’s applicable qualifying period. Referral credits have no cash value and are not transferable for cash.
Self-referrals, duplicate-business referrals, fabricated referrals, and other referral abuse are prohibited. Emeraldline may verify referral eligibility and deny or reverse a credit obtained through error or abuse.
17. Your Information and Feedback
You retain your rights in information you provide to Emeraldline. You grant Emeraldline permission to use that information as reasonably necessary to provide, administer, secure, support, and improve the Service, including matching opportunities to your profile and communicating with your designated recipients.
If you provide alert feedback, fit feedback, correction information, support comments, suggestions, or other input, Emeraldline may use it to improve your matching experience and the Service. Feedback does not automatically rewrite explicit required profile criteria unless you or Emeraldline separately updates the profile.
18. Public Sources and Third-Party Links
The Service relies in part on government websites, procurement portals, public documents, and other third-party sources that Emeraldline does not control. Links to third-party sites are provided for convenience and source verification.
Emeraldline is not responsible for the availability, security, accuracy, content, policies, or actions of third-party sites or public procurement systems. Your use of those sites is subject to their own terms and policies.
19. Service Availability and Changes
Emeraldline may change monitoring methods, source integrations, matching methods, delivery providers, alert presentation, Status Summary features, and other operational aspects of the Service as the business and public-source environment evolve.
Emeraldline does not guarantee uninterrupted or error-free availability. Maintenance, provider outages, public-source outages, security events, technical failures, force majeure events, or other circumstances may temporarily affect the Service.
Material price changes, if any, will be handled prospectively and will not override a valid Founding Subscriber rate while that rate remains in effect.
20. Intellectual Property
Emeraldline and its licensors own the Emeraldline name, branding, original software, original analysis, selection and arrangement, matching methods, alert presentation, and other original Service materials, subject to rights in underlying public records and third-party materials.
Government facts, official procurement documents, and third-party materials remain subject to the rights and restrictions applicable to those materials. These Terms do not claim ownership of government facts or official public records.
Subject to these Terms, Emeraldline grants your subscribed business a limited, nonexclusive, nontransferable right to use Emeraldline’s paid service output for the business’s internal operations and legitimate project collaboration. This license ends when the applicable right to use the Service ends, except that your business may retain ordinary records of alerts it legitimately received.
21. Prohibited Conduct
You may not use the Service to violate law, interfere with the Service or its security, impersonate another person or business, submit fraudulent Sample requests, attempt to gain unauthorized access, systematically extract or republish Emeraldline service output for unrelated third parties, or use the Service in a manner that materially harms Emeraldline, its systems, providers, or other users.
Emeraldline may use reasonable technical and operational measures to protect the Service and enforce these restrictions.
22. Suspension and Termination
Emeraldline may suspend or terminate access for unresolved nonpayment, material violation of these Terms, fraud or abuse, security risk, legal requirement, misuse of the Service, or conduct that materially threatens Emeraldline’s systems, providers, or other users.
Suspension or termination does not erase payment obligations or other rights and obligations that arose before the effective date of suspension or termination. Provisions that by their nature should survive, including intellectual property, disclaimers, liability limitations, governing law, and miscellaneous contract terms, will survive.
23. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." EMERALDLINE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.
WITHOUT LIMITING THE FOREGOING, EMERALDLINE DOES NOT WARRANT THAT THE SERVICE WILL BE COMPLETE, UNINTERRUPTED, ERROR-FREE, OR FREE OF DELAYS; THAT EVERY RELEVANT SOURCE OR OPPORTUNITY WILL BE IDENTIFIED; THAT GOVERNMENT INFORMATION WILL REMAIN CURRENT; THAT A MATCH WILL BE ELIGIBLE OR SUITABLE FOR YOUR BUSINESS; OR THAT USE OF THE SERVICE WILL RESULT IN AN AWARD, CONTRACT, SAVINGS, REVENUE, OR OTHER BUSINESS RESULT.
24. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMERALDLINE LLC AND ITS MANAGERS, MEMBERS, EMPLOYEES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST DATA, LOST OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED THAT SUCH DAMAGES MAY OCCUR.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMERALDLINE LLC’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100.00 OR (B) THE FEES ACTUALLY PAID TO EMERALDLINE FOR THE APPLICABLE SUBSCRIPTION DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
These limitations allocate risk in light of the Service’s low monthly price and apply regardless of the form of action, except to the extent a limitation is prohibited by applicable law.
25. Electronic Communications
You agree that Emeraldline may provide agreements, notices, billing and account information, alerts, Status Summaries, support communications, and other records electronically, including by email and through the website or Stripe-hosted pages.
Paid-service communications are separate from marketing preferences when the primary purpose of the message is to deliver or administer the Service. Opting out of marketing does not automatically stop legitimate opportunity alerts, material updates, account notices, billing notices, security notices, or other service communications while the subscription remains active.
26. Privacy
Emeraldline’s Privacy Policy explains how we collect, use, disclose, protect, and retain information. The Privacy Policy is incorporated into these Terms by reference.
27. Governing Law and Venue
These Terms and any dispute arising out of or relating to these Terms or the Service are governed by the laws of the State of Florida, without regard to conflict-of-laws principles, except to the extent applicable law requires otherwise.
Subject to any applicable jurisdictional requirement, the exclusive venue for a dispute will be the state courts located in Santa Rosa County, Florida, or, when federal jurisdiction exists, the United States District Court for the Northern District of Florida. Each party consents to personal jurisdiction in those courts.
These Terms do not require mandatory arbitration and do not contain a class-action waiver.
28. Changes to These Terms
Emeraldline may update these Terms as the Service, law, or business practices change. The current version and effective date will be posted at emeraldlinegulfcoast.com.
If a change is material to an existing paid subscription, Emeraldline will provide reasonable notice before the change takes effect when required or appropriate. Changes apply prospectively and do not retroactively alter rights or obligations based on events that occurred before the new effective date.
Continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
29. Miscellaneous
These Terms and the incorporated Privacy Policy constitute the agreement between you and Emeraldline concerning the Service, except for separate terms expressly agreed in writing for a specific transaction.
If any provision is held unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law. A failure to enforce a provision is not a waiver of the right to enforce it later.
Headings are for convenience only. No third party is intended to be a beneficiary of these Terms. Emeraldline may assign these Terms in connection with a merger, reorganization, sale of substantially all assets, or other legitimate business transfer. You may not assign your subscription to an unrelated business in a way that bypasses the one-business-profile rule without Emeraldline’s consent.
